For a total amount of Php xxxx, the assignor assigns and transfers ownership of the shares to the assignee free from all liens and encumbrances. of Shares of Stock in

SO THE PUBLIC MAY KNOW:

This Deed of Assignment is entered into by and between the following

whom shall hereinafter be referred to as the “ASSIGNOR”;

RECITALS

WHEREAS, the Assignor is the owner of xxxx (xxxx) common

CORPORATION, a corporation duly organized and existing under the laws of
the Republic of the Philippines, with business address at xxxx.

WHEREAS, the Assignor is willing to assign, and the Assignee is


willing to accept the Assignor’s common shares of stock in xxxx
CORPORATION, by way of this instrument under the following manner:

NOW THEREFORE, for a total amount of xxxx (Php xxxx_, the


Assignor hereby assign, sell, cede, transfer and convey in a manner that is
absolute and irrevocable a part of his common shares of stock in xxxx
CORPORATION, unto the Assignee, free from all liens and encumbrances.

Any and all expenses incidental to the conveyance and registration of


the transfer from the name of the Assignor to the name of the Assignee, such
as documentary stamp tax, transfer fees, registration expenses and the like
shall be the sole and exclusive account of the Assignee, except for the capital
gains tax, if any, which shall be for the sole account of the Assignor.
