DEED OF ASSIGNMENT

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Assignment made and executed on Makati City, Philippines, by

The following Filipinos, all of legal age and with postal address at:

Respectively, hereinafter referred to as the ASSIGNOR;

WITNESSETH THAT:

WHERAS, the ASSIGNOR is a stockholder and the absolute owner of ONE


THOUSAND SHARES (1,000) shares of stock of (COMPANY), with a par value of
ONE HUNDRED (Php100) Peso per share, or a total value of ONE HUNDRED
THOUSAND (P 100,000) Pesos of which TWENTY FIVE THOUSAND (P
25,000) Pesos has been paid;

WHEREAS, The ASSIGNOR has agreed to sell (1,000) shares stock worth
(P100,000) Pesos to the following:

WHERAS, the Board of Directors have approved the transfer of the same
from the ASSIGNOR to the ASSIGNEE.

TWENTY FIVE THOUSAND (P 25,000) Pesos, Philippine Currency, The
ASSIGNOR hereby ASSIGN, TRANSFER and CONVEY irrevocably to the
ASSIGNEE all and whatever rights, interest and participation which the assignor may
have as subscribers/stockholders in (COMPANY) On the said shares which are 25%
paid.

This assignment authorizes and empowers the ASSIGNEE to acquire the


same shares and/ or subscription with the same legal and binding purposes and affect
as if said shares and/or subscription had been originally made by ASSIGNEE.

IN WITNESS WHEREOF, the parties hereunto affixed their signature this
