DEED OF ASSIGNMENT
This Deed of Assignment made and executed this _________________, by and
between:
_____________________ of legal age, Filipino, and with address at
__________________, hereinafter referred to as the “ASSIGNOR”
- and –
______________________, of legal age, Filipino and with address
at______________________________________________, hereinafter
referred to as the “ASSIGNEE”,
WITNESSETH That –
WHEREAS, the ASSIGNOR is the subscriber of __________ common shares of
stock (the “Share”) of O__________(the “Corporation”) with a par value of
__________ (Php______.00) per share, or equivalent to ______________, which have
been fully paid;
WHEREAS, the ASSIGNOR desires to transfer and assign unto the
ASSIGNEE the Share in order to qualify him as a director of the Corporation and the
ASSIGNEE desires to acquire the same;
NOW, THEREFORE, for and in consideration of the premises, the parties
have agreed as follows:
1. For and in consideration of the amount of _______________
(Php________.00), receipt of which is hereby acknowledged by the
ASSIGNOR, the ASSIGNOR hereby transfers, assigns and conveys unto the
ASSIGNEE title and interest over the Share in the Corporation.
2. The ASSIGNOR hereby irrevocably authorizes and instructs the Corporate
Secretary of the Corporation to record the transfer of the Share in favor of the
ASSIGNEE as described herein in the books of the Corporation.
3. The ASSIGNOR hereby irrevocably appoints, authorizes and designates the
ASSIGNEE to transfer and/or cause the transfer of the Share in the books of the
Corporation with full power of substitution in the premises.
4. This Deed of Assignment may be executed in one or more counterparts, and by
the Parties on separate counterparts, but shall not be effective until each Party
has executed at least one counterpart and each such counterpart shall constitute
an original of this Deed of Assignment but all the counterparts shall together
constitute one and the same instrument.
