DEED OF ABSOLUTE SALE

I.
Parties to the Deed of Absolute Sale

The parties to this Deed of Absolute Sale (“hereinafter referred to as the


“DOAS”) are as follows:

The Seller:

GROUND AIR FREIGHT FORWARDING CORPORATION, a


corporation duly organized and existing under Philippine laws, with
office and principal place of business at Warehouse No. 1, Olivares
Compound, Juanita De Leon St., San Dionisio, Parañaque City, Manila,
Philippines represented herein by its President, GERARD MARTIN S.
CAMIÑA (hereinafter referred to as “Seller”).

The Buyer:

MYRNA OLAG, of legal age, Filipino, and principal place of business at


King St., Phase 5, Manuyo Dos, Las Piñas City (hereinafter referred to as
“Buyer”)

II.
Objects of the Sale

The objects of the sale are the following: (a) Fuso Canter Truck Aluminum Van
with plate no. GLK225; (b) Mitsubishi L300 with plate no. UMN238; (c) Isuzu Closed
Van with plate no. XPF248; and (d) one forklift (hereinafter referred to as “Items”).
The Seller sells the Items on an as is where is basis.

III.
Price/Consideration

The Seller agrees to sell, and the Buyer agrees to buy, the Items for the price of
Two Hundred Thousand Pesos (Php 200,000.00).

All the necessary taxes, fees and charges for the proper registration and
documentation of the Items for the purpose of its lawful and legal presence and
operation here in the Philippines shall be for the account of the Buyer.

IV.
Payment of Price/Consideration

The Buyer has paid, and the Seller has received, the full purchase price for the
Items amounting to Two Hundred Thousand Pesos (Php 200,000.00).

V.
Buyer to pick-up Items

The Buyer herein undertakes to pick up the Items, at its own cost, at the
principal place of business of the Seller.

Along with the pickup of the Items, the Seller undertakes to deliver to the Buyer
the complete registration and other documents from all the concerned government
departments, agencies, or offices, necessary for the legal and lawful presence and
operation of the Items in the Philippines.

VII.
Severability Clause

If any provision of this DOAS shall hereafter be held as invalid or


unenforceable for any reason, that provision shall be reformed to the maximum extent
permitted to preserve the parties’ original intent, failing which, it shall be severed
from this DOAS with the remaining provisions of this DOAS continuing in full force
and effect.
