POWER GENERATOR - PREVENTATIVE MAINTENACE


AGREEMENT
This agreement is made and entered into between NativeWay (Pvt) Ltd (a Company duly registered under the
Companies Ordinance No-07 of 2007 and having it’s registered office at 549, Sri Sangaraja Mawatha, Colombo-10)
Authorized agents in Sri Lanka for Teksan and Cooper Generators and spare parts hereinafter called and referred as
“NativeWay” and /or “Supplier”,

hereinafter referred to as “Customer”, on the one part, hereinafter NativeWay and the Customer are hereinafter also
called “Party” individually or “Parties” collectively.

This contract considers its validity dates as 15/05/2023 to 14/05/2024. However, contract fully activated with the
completing the full payment for the contract. Its customer’s responsibility to make the payment on or before the contract
starting date. If payment got delayed, contract date manually changed and services will perform accordingly.

ANNEXURE 1 - SCOPE OF WORK
This contract Includes,

Tentative Inspection Months

Service attention shall include:


1. Routine servicing, including cleaning, lubricating, testing and adjustments necessary to maintain the EQUIPMENT in
satisfactory working condition.
2. The scope of the service attention specifically excludes the supply and or fitment of any warn damaged parts which if
required will be charged additional, NativeWay shall submit an estimate for the cost of replacement of such parts and
obtain prior approval By PO or e-mail confirmation of Customer, before such supply of fitment is carried out.
3. The manufacturer's recommended service frequency is Every 250 running hours or 6 months, whichever occurs first. In
cases where the generator set accumulates higher running hours, the Customer shall keep the Supplier informed so that
services can be scheduled according to the running hours. Allow 2-3 weeks lead time to schedule a visit.
4. ervice attention shall be carried out at least once in every 06 months or every 250 hours of genset running hours
whichever occurs first and inspection in every 03 months during the continuance of the agreement. These services will
be referred to as “scheduled service” and will normally be carried out at the place of normal use of the Equipment.
5. Apart from the “Scheduled Service” referred to above, NativeWay shall also carry out additional service calls if required.
Such calls will be referred to as “Unscheduled Service” and will be charged accordingly.
6. Where the consumer is unable to make the EQUIPMENT available for any reason for the “Scheduled Service” NativeWay
reserves the right to treat any additional visit for this purpose as an “Unscheduled Service” and charge for same
accordingly.

Maintenance Service shall not include:


1. Electrical work, external to the equipment or service of equipment and machinery not furnished by NativeWay.
2. Service attention as a result of “negligence of the customer, his agent, servants or employees, damage due to fire, riots,
civil commotion sabotage, as a result of the Equipment being transported without the supervision of NativeWay
personnel, damage due to sudden surge of current, work performed on the Equipment by anyone other than NativeWay
personnel, addition, alteration and modifications of existing Equipment, non-compliance of recommendations directions
given by NativeWay. Damage done by rodents and any act of Good.
3. NativeWay’s responsibility ceases if the equipment referred to is once (repaired or interfered) with, by any person other
than its authorized Technical Officer or if any parts or spares other than those supplied by NativeWay are used.
4. Subject to this contract NativeWay’s liability to Customer resulting from performance of service attention shall be
limited to restoring the Equipment to normal operating order.
5. This Customer specifically agrees that Nativeway will not be liable for loss or claims against the Customer by any other
party.
6. Only genuine spare parts purchased from Nativeway should be used in the machine, any damages and malfunctions

caused by the usage of spare parts purchased from unauthorized sources would cease all warranties and services offered
by NativeWay and shall not be responsible for such damages or malfunction.

Inspection shell includes:


1. Air Intake system: Check Air Intake piping and clamps, and the condition of the air filter
2. Engine exhaust system: Check the turbo charger and the exhaust manifold and engine protection system: Check all
protection sensors and switches
3. Main alternator: Check main terminal connections, auxiliary supply fuses and fixings, space heaters and all fixing bolts
are needed, a supplementary estimate will be submitted for Customer approval.
4. Cooling System: Check coolant concentration, radiator, fan belts, water pump, and oil cooler
5. Lubricating oil system: Check oil level, and front and rear oil seals
6. Battery-charging system: Check battery acid level, condition of terminals and lugs
7. An inspection report with recommendations shall be submitted to the Customer. If scheduled maintenance or
unscheduled repairs

Additional Replacements / providing servicing


Air Filters need to be changed once a year or according to site condition. Alternator Service Interval 1000hrs or
12Months. Customers can obtain this additional service on their agreement. This will help to both parties to arrange pre
schedule jobs with better cost. Nativeway recommend to add this additional service in to the service contract for extra
care.

Flushing and replacing the engine coolant of the generator, is a part of a regularly scheduled maintenance program. At
the manufacturer’s recommended, maximum use of every 03 years the new coolant has to be replace (flush) with the
cooling system components. Using the proper suitable grade coolant at the proper mixture will help keep the generator
stationary engine from overheating and prevent it from heating failures. All this addon services are can be obtain with
the contract and the separate charges applicable.

d. Check all contractors, breakers, timers, relays.

b. Get the merger reading and offer the detail report.
c. Uncouple and dismantle the alternator from engine
d. Cleaning, baking and varnishing the unit
e. Re-assemble the unit, start and testing.
f. Offer the final merger reading report.
F. Alternator Inspection Includes
a. Check the generator main connections.
b. Merger reading - Main stator/ Main rotor/Exciter rotor/Exciter stator.

c. Check the rectifier connection.
d. Clean the rectifiers and winding by air blower.
e. Check the control panel parameters.

ANNEXURE 02 - TERMS AND CONDITIONS


This contract is for the assure the agreed tasks in between both signing parties. Every contracted customer will cover our
quick breakdown attendance facility. In the event of a breakdown during the period of Contract, the Customer shall
receive priority service, which ensures response within 24 hours of notification. If the product is out of warranty,
transport and labor will be invoiced separately. After every visit, Contractor will provide the service details sheet and
the relevant document. Its customer’s responsibility to maintain the proper records of the services. And customer needs
to verify the report with the company seal on the service provider’s copy of the service report.

OBLIGATIONS

The Contractor shall render services with regard to the Scope of Services as contained in Annexure 1 and shall comply
with the job specific obligations set out in hereto.

The Contractor shall be responsible for all payments including salaries and all applicable statutory dues including
EPF/ETF, Gratuity etc. payable to its employees/workers engaged in providing the services hereunder and shall keep the
Company indemnified against any prosecutions, claims, demands or penalties arising from the non-payment of such
statutory dues by the Contractor.

TERMINATION

This Agreement may be terminated by either Party giving the other Party calendar months’ (30 Days) notice of its
intention to terminate this Agreement. And in such, event NativeWay will not refund to the customer the money paid
under this agreement or any parts thereof. The termination shall not affect any accrued rights or liabilities of either Party

CONCERN

Except as expressly provided in this article or elsewhere in this Contract, neither Party shall in any event be liable to the
other Party under the applicable Contract for loss of production, loss of profit, loss of use, loss of business, loss of data or
revenue for any special, indirect, incidental or consequential damages, whether or not the possibility of such could have
been reasonably foreseen.

SERVICE FACILITATION

Customer has the responsibility to provide the safe and suitable environment for the service preparation and carried out
the service at their venue. Including uninterrupted water line, waste management, vehicle parking, gate pass
arrangement and other health and safely facilities. If customer requested additional health and safety reports / test,
Customer should inform to the contractor in advance. Customer should have bear all the chargers for such
requirements.

The Contractor will provide its employees engaged in providing services hereunder with relevant uniforms, overalls,
safety helmets, safety shoes, safety glasses, high visibility jackets, safety belts and such other protective and/or

necessary equipment so as to ensure the proper identification and safety of its employees in keeping with the safety
requirements of the Company.

INSURANCE

For protect customer’s facilities and the equipment, its customer’s responsibility to obtain the proper insurance cover in
regarding to the subject.

PAYMENTS

Full payment has to made in advance. Its mandatory to start the services attendance.

PRICES

Every care has been taken in preparing this service agreement, but the spare parts prices indicated are contract creating
date’s price and prices will be subject to change due to Taxes, from quoted pricing. We also reserve the right to modify
our prices without prior notice.

This charge is calculated on the basis that these services are carried out during working hours (i.e. 08:30am to 05:00pm /
Monday to Friday). An additional charge of 25% on the labor component per service with and VAT will be charged for
services provided after working hours and during weekends. The additional charges may apply if Generator met with a
sudden brake down or any failure to attend our team to the generator location with repair charges.

GOVERNING LAW AND DISPUTES RESOLUTION

This Agreement shall be governed by the laws of Sri Lanka.

Any dispute concerning the implementation or interpretation of this Agreement that cannot be settled amicably
between the Parties shall be submitted to a court of law in Sri Lanka.

CONFIDENTIAL INFORMATION

The Contractor hereby undertakes that the Contractor and/or each of its affiliates and/or employees and or
representatives thereof shall always keep confidential and secure and not exploit or otherwise misuse, divulge or
communicate to any third party or use for its own purpose any information obtained in carrying out the services
stipulated in this Agreement: Provided always that the Parties may only disclose and use the said information to the
extent required by Law or a competent court of Jurisdiction.

Force Majeure: Whenever performance by either Party of any of its obligations is substantially prevented due to
circumstances beyond the control of that Party, including but not limited to any act of God, law, regulation or ordinance,
war or war conditions, custom barriers, civil insurrection, epidemics, government restrictions or other causes of like
character, then such performance shall be excused and this Agreement shall be deemed suspended during the
continuation of such circumstances.

RELATIONSHIP BETWEEN THE PARTIES

The relationship between the Company and the Contractor is on principal to principal basis and does not create any Joint

Venture, partnership or Agency or employer/employee relationship either with the Contractor or with its employees or
agents. The employees of the Contractor and the Contractor have no authority or power to bind the Company or to
create any direct or indirect obligation of the Company or pledge its credit in any way.

CONTRACT RENEWALING

This Contract shall be automatically renewed for a successive one-year contract period, thereafter until and unless the
either party provides the other party thirty (30) days’ notice in writing prior to the end of the initial contract period or
renewed contract period or scheduled services are completed prior to contract period. Only Financial details shall be
reviewed and revised accordingly, scope of work will be same unless if not changed by the either party.

BUYER / OWNER RESPONSIBILITIES

Buyer/Owner should install, operate and maintain the generator set in accordance with the maintenance and operation,
diesel engine and alternator handbooks supplied with the genset. If these books are lost, Buyer/ Owner is responsible to
provide those books. In case of failures occurred due to not respecting to these books, the warranty will be invalid.
Commissioning approval and start-up process should be made by Nativeway Pvt Ltd or its authorized representatives.
Giving timely notice of a warrantable failure and making the equipment available for repair as the defect has become
apparent. Accepting the Nativeway’s sole judgment as to whether the faulty is under warranty coverage or not. Any costs
of investigations, unless a defect is accepted by Nativeway as a warranty claim. Any costs in excess of the purchase price
of the genset. Other miscellaneous costs such as courier, travel, mileage, lodging, taxes, telephone calls, overtime, etc.
Buyer/Owner has the right of searching and asking for the ID card from the staff appointed for technical service.
Sufficient amount of lubricating oil, coolant or additives with specifications specified in the Maintenance and Operation
Handbook should be used. In case of using lubricating oil and coolant that lost property or dirty or with different
specifications and standards, warranty will be invalid.
