● Post Development Phase II: 20% of the total estimated cost.

● Upon Completion (pre-launch): 10% of the total estimated cost.

incur additional charges.)

7. Legal and Compliance

Terms and Conditions:

● Ownership of Work: All deliverables, including designs, source code,

and documentation, will become the property of M/s SHRI MS
AGENCIES upon full payment. Micro genesis software retains the right
to use them for portfolio and promotional purposes unless
otherwise agreed upon.

● Confidentiality: Both parties agree to maintain the

confidentiality of all proprietary information and data shared
during the course of this project.

● Termination: Either party may terminate the agreement with 30

days notice. Any payment made for work already completed will
not be refundable.
 ● Warranty: Micro genesis provides a "3 months" warranty post-
launch to fix any bugs or issues related to the original scope of
work at no additional cost.

● Limitation of Liability: Micro Genesis's liability under this agreement

is limited to the amount paid by SHRI MS AGENCIES. In no event
shall Micro genesis be liable for incidental or consequential
damages arising out of this agreement.

Any applicable regulations or compliance considerations:

The application will adhere to platform-specific guidelines, such as the

Guidelines Google Play Store Policies. Additionally, any data handling will
comply with data protection regulations applicable in [Client's
region/country, e.g., "General Data Protection Regulation (GDPR)"].

8. Next Steps

To ensure a smooth transition from proposal review to project

commencement, we've outlined the next steps:

1. Proposal Review: Please thoroughly review this proposal and note any
changes, additions, or clarifications you'd like addressed.
2. Feedback Session: We suggest scheduling a feedback session
where both parties can discuss the proposal in detail. This will
allow us to address any concerns and finalize project specifics.
3. Contract Signing: Once the proposal is agreed upon, a detailed
contract encompassing all aspects of the project will be drafted for
both parties to sign.
4. Initial Payment: As per the payment terms outlined earlier, an
upfront payment will be required to kickstart the project.
5. Project Commencement: After the initial formalities are
completed, our team will initiate the Discovery & Planning phase
and set the ball rolling.
 6. Regular Updates: Throughout the development process, we'll
maintain open communication, providing you with regular updates
and seeking feedback to ensure alignment with your vision.
7. Feedback & Iterations: Post each phase, we'll incorporate your
feedback and make any necessary iterations, ensuring the app's
success and your satisfaction.
