RELEASE FORM FOR WRITERS
This Release is granted by [*insert your name*] (the “Writer”) to OML
Entertainment Pvt. Ltd. and its affiliates (collectively, “The Company”)
The Writer wishes to pitch and share content or works, including but not limited to
show formats, ideas, scripts, synopsis, summaries, concepts, presentations,
stories, screenplays, jokes, etc. (“Material”) to the Company for consideration in
order to develop, sell and/or produce the Materials. The Writer represents the
following:
1. Writer warrants that he/she is the owner of the Materials and owns /
controls intellectual Property of the Materials and that the Writer has the
full power and authority to submit the Material to the Company and has
the exclusive right to grant all rights in the Material. Writer shall keep the
Company fully indemnified in this regard. The Release Form does not in
any manner create any assignment of the Materials in favour of the
Company
Writer warrants that no third party is entitled to any payment or other
consideration as a condition for using/pitching the Material.
2. Writer agrees and acknowledges that the Company may at its sole
discretion upon evaluation of the potential of the Material, may decide to
develop the Materials. All proprietary rights in the developmental materials
(“Company Materials”) produced and created by the Company, in
addition to the Materials, shall vest with the Company and Writer
undertakes to maintain strict confidentiality of such Company Materials.
Writer cannot use, access or share in any manner whatsoever, Company
Materials, without the prior written consent of the Company.
3. Writer agrees and acknowledges that consideration of the submitted
Materials is not an admission by the Company of the novelty, propriety or
originality of the Material. The Company continuously develops or acquires
new ideas and materials. The Writer acknowledges that the Company may
already have developed/acquired, may be developing/acquiring or may
have considered its own ideas, concepts and intellectual properties, which
are similar to, resemble elements of the Material, either on its own or in
conjunction with third parties. Writer agrees that Writer shall have no right
to dispute Company’s right to consider, develop and/or produce matter
similar to the Materials.
4. The Writer agrees and acknowledges to the following upon the submission
of the Materials to the Company and/or execution of this Release Form:
(a) Company has the right but not the obligation to pitch the Material to other
partners for the purpose of monetization as it deems fit.
(b) The Writer understands and agrees that submission of such Material shall
not imply acceptance of the Material or any fiduciary or contractual
relationship between the Company and Writer. There is no agreement
between the Writer and the Company, express or implied, relating to the
use or failure to use the Material.
(c) The execution of this Release Form does not imply confirmation from the
Company to participate in the development, sales and/or production of the
Material shared.
5. If any provision of this Release is deemed to be wholly or partly invalid,
this shall not invalidate the remainder of the Release.
6. This Release shall be governed by and interpreted and construed in
accordance with the laws of India, subject to exclusive jurisdiction of the
Courts of Mumbai.
