DEED OF ASSIGNMENT

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Assignment of Corporate shareholdings, made and


executed on the day of ________________ 2023 in Angles City, Philippines
by and between:

PETER C. CLARK, Australian, of legal age, with


postal address at _______________, referred
herein as the ASSIGNOR.

- and -

IRENE P. CLARK, of legal age, Filipino with


postal address at _________________, hereinafter
referred to as the ASSIGNEE,

WITNESSETH: That –

WHEREAS, the ASSIGNOR, is a stockholder of record of Custom


Sporst and Leisure Manufacturing Corporation, a corporation duly organized
and existing under and by virtue of laws of the Republic of the Philippines.
ASSIGNOR is the owner of TWO HUNDRED THOUSAND (200,000)
shares of common stock of said Corporation, each share with a par value of
ONE PESO (P1.00) Philippine Currency, of which one hundred percent
(100%) subscription has been paid to the Corporation:

WHEREAS, the former CONVEYS SEVENTY THOUSAND


(70,000) shares of stock, to the ASSIGNEE, her heirs, and assigns.

The ASSIGNOR hereby warrants that all of the above-mentioned


shares of stocks are free from any liens or encumbrances, and undertakes to
defend the right of the ASSIGNEE from whatever claim or causes of action
arising from this transaction or ASSIGNEE’s ownership of the shares.
ASSIGNOR likewise undertakes to execute any and all necessary/desirable
documents in order to give full effect to this contract.

IN WITNESS WHEREOF, the parties have hereunto set their hands
