DEED OF ASSIGNMENT OF SHARES OF STOCK

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Assignment, made and entered this 15 th day of March 2020, by
and between:

-and-

WITNESSETH:

1. WHEREAS, the ASSIGNOR is willing to assign, and the ASSIGNEE willing to


accept a portion of the ASSIGNOR’S Shares by way of this instrument;

2. WHEREAS, the ASSIGNOR desires to assign, transfer, and convey all its rights,
titles, and interests in and to the Shares, including all its dividend and
subscription rights, whether accrued, accruing, or which may accrue to the
Shares, in favor of the ASSIGNEE, and the ASSIGNEE accepts the assignment;

Any and all expenses incidental to the conveyance and registration of the
transfer from the name of the ASSIGNOR to the name of the ASSIGNEE, such as
documentary stamp tax, transfer fees, registration expenses and the like shall be the
sole and exclusive account of the ASSIGNEE, except for the capital gains tax, if any,
which shall be for the sole account of the ASSIGNOR.

Upon presentation of this Deed of Assignment of Shares, the Corporate


Secretary or transfer agent of the Corporation is hereby authorized and instructed to
effect the necessary transfer of the SHARES to and in the name of the ASSIGNEE in
the books and records of the Corporation, and any and all rights, title, and interests
in and to the Shares, including, but not limited to, the right to vote, dividend, and
subscription rights, shall thereafter pertain to the ASSIGNEE.

IN WITNESS WHEREOF, the parties have hereunto signed this DEED OF
