DEED OF ASSIGNMENT OF SUBSCRIPTION RIGHTS

KNOW ALL MEN BY THESE PRESENTS:

This Deed made and entered into this _____ day of ______________ 2006, in
Manila, by and between:

, of legal age, Filipino and with postal address at


_______________, Cainta, Rizal 1900 (hereinafter, the "ASSIGNOR");

, of legal age, Filipino and with postal address at


_____________, Sta. Cruz, Manila (hereinafter, the "ASSIGNEE");

WITNESSETH: That -

WHEREAS, the ASSIGNOR is the true and beneficial owner of 1,555,680


shares of the capital stock of X. (hereinafter, the “Corporation”), of which the amount
of Three Hundred Eighty Eight Thousand Nine Hundred Twenty Pesos
(PhP388,920.00) has been paid up;

WHEREAS, the ASSIGNOR desires to assign 69,040 shares of the capital


stock of the Corporation with a par value of Sixty Nine Thousand Forty Pesos
(PhP69,040.00) in favor of the ASSIGNEE;

NOW, THEREFORE, for and in consideration of the sum of Seventeen


Thousand Two Hundred Sixty Pesos (PhP17, 260.00), receipt of which is hereby
acknowledged by the ASSIGNOR, the ASSIGNOR hereby cedes, assigns and
transfers his subscription rights to 69,040 shares (the “Shares”) of the capital stock of
the Corporation in favor of the ASSIGNEE and the ASSIGNEE hereby accepts the
same.

Any unpaid balance on the subscription to the Shares shall be assumed by the
ASSIGNEE.

The ASSIGNOR hereby authorizes the Corporate Secretary to record this Deed
in the books of the Corporation and to effect the transfer and assignment of the
subscription rights to the Shares in favor of the ASSIGNEE.

The capital gains tax due on the sale of the Shares, if any, shall be for the
account of the ASSIGNOR. All documentary stamp taxes and other fees due in
connection with or arising from the sale of the Shares shall be for the account of the
ASSIGNOR.
IN WITNESS WHEREOF, the parties have hereunto signed this Deed of
Assignment of Shares on the date and in the place first abovementioned.
