DEED OF ASSIGNMENT OF SHARES
KNOW ALL MEN BY THESE PRESENTS:
This agreement made and entered this ________ in the City of
Davao, Philippines, by and between:
_____, of legal age, Filipino, married and a resident of
_____, Philippines; hereinafter referred to as
“ASSIGNOR”;
- and -
____, of legal age, Filipino, married and a resident of ______,
Philippines;
_______, of legal age, Filipino, married and a resident of ____P;
and
________, of legal age, Filipino, married and a resident of
___________, hereinafter referred to as “ASSIGNEE”.
WITNESSETH THAT :
WHEREAS, the ASSIGNOR is a stockholder of ____ (hereinafter
as the Corporation), a corporation duly organized and existing under the
laws of the Republic of the Philippines;
WHEREAS, the ASSIGNOR is one of the registered owner of
SEVENTY FIVE THOUSAND (75,000) shares of common stock of the
Corporation (hereinafter referred to as the “SHARES”;
WHEREAS, the ASSIGNOR desires to assign, transfer and
convey all its rights, titles, and interests in and to the shares, including all
its dividend and subscription rights, whether accrued, accruing, or which
may accrue to the Shares, in favor into the ASSIGNEE, and the
ASSIGNEE accepts the assignments in the following shares:

NOW, THEREFORE, for and in consideration of the foregoing
premises and the payment of the sum of SEVENTY FIVE THOUSAND
(75,000), the ASSIGNOR hereby assigns, transfers, and conveys,
absolutely and unconditionally all its rights, titles, and interests in and to
the Shares, including all its dividend and subscription rights, whether
accrued, accruing, or which may accrue to the Shares, unto and in favor of
ASSIGNEE, its successors and assigns.
Upon presentation of this DEED OF ASSIGNMENT OF SHARES,
the Corporate Secretary or transfer agent of the Corporation is hereby
authorized and instructed to effect the necessary transfer of the Shares to
and in the name of the ASSIGNEE in the books of records of the
Corporation, and any and all rights, title and interests in and to the Shares,

including but not limited to, the right to vote, dividend, and subscriptions
rights, shall thereafter pertain to the ASSIGNEE.
IN WITNESS WHEREOF, the parties have hereunto affixed their
